Oregon Commercials Ltd: Outcome of EGM

Oregon Commercials Ltd has informed BSE that the shareholders at the Extra Ordinary General Meeting (EGM) of the Company held on May 23, 2011, inter alia, have decided the following:

1. To increase the share capital of the company increased from Rs. 1,00,00,000 (Rupees One Crores Only] divided in to 10,00,000 (Ten Lacs) Equity shares of Rs. 10/- (Rupees Ten) each to Rs. 13,00,00,000 (Rupees thirteen Crores Only) divided in to 1,30,00,000 (One Crore Thirty Lacs) shares of Rs. 10/- (Rupees Ten) each.

2. To alteration in memorandum and articles of association of the Company.

3. To issue of convertible warrants of the Company on preferential basis to issue, offer and allot 1,00,00,000 (One Crore) convertible warrants and 20,00,000 (Twenty Lacs) in aggregate in one or more tranches on a preferential basis, with an option to convert 1,00,00,000 Convertible warrants into equal number of equity shares to non-promoters of the Company.
