Responsive Industries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 28, 2011, inter alia, have taken the following decisions :
1. The Board of Directors of the Company have decided to call Extra Ordinary General Meeting at a shorter notice on January 31, 2011. after taking on record the consents obtained from the Members of the Company as required under section 171(2) of the Companies Act 1956.
2. The Board of Directors of the Company considered and approved the Notice of Extra Ordinary General Meeting to be conducted at a shorter notice, to seek consent from the Members for modification to the special resolution passed under section 81 (1 A) of the Companies Act, 1956 in the Annual General Meeting held on September 10, 2010.
