Logix Microsystems Limited has informed the Exchange that notice is hereby given pursuant to Section 192A of the Companies Act, 1956 read with the Companies (Passing of Resolutions by Postal Ballot) Rules, 2001 for considering and passing the following Special Business by the Members of the Company by passing Resolution through postal ballot. (1) Special Resolution under Section 81(1A) and other applicable provisions, if any of the Companies Act, 1956 to issue and allot on preferential basis 125,000 (One Lakh Twenty Five Thousand) fully paid Equity Shares of nominal value of Rs.10/- (Rupees Ten Only) at a price of Rs.320/- (Rupees Three Hundred Twenty Only) per share, which includes a premium of Rs.310/- (Rupees Three Hundred Ten Only) to Add-on-Auto LLC, USA.
