Windsor Machines Ltd: Outcome of EGM

Windsor Machines Ltd has informed BSE that the members at the Extra Ordinary General Meeting (EGM) of the Company held on May 12, 2011, inter alia, have accorded the following:

1. Resolution no. 1(a) : a special resolution to issue and allot 1,87,50,000 equity shares as per the Scheme Sanctioned by the Board for Industrial and Financial Reconstruction (BIFR) has been passed through the result of poll conducted at the meeting.

2. Resolution no. 1(b): a special resolution to issue and allot 7,77,57,500 equity shares subject to sanction of the proposed Modified Draft Rehabilitation Scheme (MDRS) has been dropped and not taken on in view of deliberation at the meeting.

3. Resolution no. 2 : a special resolution to issue and allot 13,60,000 equity shares subject to sanction of the proposed Modified Draft Rehabilitation Scheme (MDRS) has been passed on the basis of poll conducted at the meeting.

4. Resolution no. 3 : a special Resolution to increase the Authorised Share Capital and sub-division of shares from existing face value of Rs. 4/- per equity share to two equity shares of Rs. 2/- per equity share, subject to and after compliances under law including Stock Exchange(s), Depositories etc., has been passed through the result of poll conducted at the meeting.

5. Resolution no. 4 regarding appointment of Mr. K. C. Gupte as an Executive Director has been passed.
