Gomti Finlease (India) Ltd: Updates on Open Offer

Comfort Securities Ltd ("Manager to the Offer"), on behalf of Chirania Trading Pvt Ltd ("Acquirer") has issued this Corrigendum to the Public Announcement ("Corrigendum") to the Equity Shareholders of the Gomti Finlease (India) Ltd ("Target Company"), which is in continuation of & should be read in conjunction with the Public Announcement ("PA") dated November 23, 2010, pursuant to Regulation 10 & 12 and other applicable provisions of Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto ("Regulations"), for substantial acquisition of shares and control in the Target company.

The terms used but not defined in this Corrigendum shall have the same meaning as assigned in the original PA. The shareholders of the Target company are requested to note the following information related to the Open Offer :

1. The Manager to the Offer on behalf of the Acquirer has received SEBI's observations letter dated March 01, 2011 in terms of proviso 18(2) of the Regulations.

2. The Schedule of activities which were published in the original PA were not in conformity with the regulations of the SEBI. Therefore we have revised the original schedule of activities as per the SEBI (SAST) regulations.

Point no. 11 and at all the relevant places in PA, the dates mentioned for the major schedule of activities have been changed from the original schedule and shall be read as under:
